1. Acceptance of Terms

By accessing or using Plyxa3D's 3D reconstruction services, website, API, or applications (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users of the Service, including visitors, registered users, API consumers, and customers (collectively, "Users" or "you").

2. Description of Service

Plyxa3D provides AI-powered single-image 3D reconstruction services that:

  • Transform 2D images into 3D models using neural radiance fields technology
  • Process images through our API or web interface
  • Generate 3D models in various formats (OBJ, FBX, GLB, USD)
  • Offer batch processing, PBR material generation, and additional features

Service Availability: We strive to provide 99.9% uptime but do not guarantee uninterrupted access. Maintenance, updates, or technical issues may temporarily affect availability.

Beta Notice: Some features may be in beta testing. Beta features are provided "as is" and may contain bugs or errors.

3. User Accounts and Registration

3.1 Account Creation

To access certain features, you must create an account by providing:

  • Accurate, complete, and current information
  • A valid email address
  • Agreement to these Terms and our Privacy Policy

You must be at least 16 years of age to create an account.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized access or security breach
  • Using strong, unique passwords and enabling two-factor authentication when available

We reserve the right to suspend or terminate accounts that violate these Terms or pose security risks.

3.3 API Access

API access requires:

  • Valid API credentials (API keys)
  • Compliance with rate limits and usage quotas
  • Adherence to our API documentation and best practices
  • Responsibility for all activities using your API credentials

API Key Security: Keep your API keys confidential. Do not expose them in client-side code or public repositories. You are responsible for all usage billed to your API keys.

4. Acceptable Use and Conduct

4.1 Permitted Uses

You may use the Service for:

  • Converting images you own or have rights to into 3D models
  • Commercial and non-commercial projects (subject to your plan)
  • Integration into your own applications via API (subject to license terms)
  • Personal creative and professional projects

4.2 Prohibited Uses

You may NOT use the Service to:

  • Upload or process content you don't own: Only upload images and content you have the right to use and convert
  • Illegal activities: Violate any laws, regulations, or third-party rights
  • Abuse the Service: Exceed rate limits, circumvent security, or interfere with service operation
  • Reverse engineer: Attempt to reverse engineer, decompile, or derive source code from our AI models or software
  • Misuse generated content: Use generated 3D models for fraudulent, defamatory, or harmful purposes
  • Automated scraping: Use bots, crawlers, or automated tools to access the Service without authorization
  • Circumvent security: Bypass authentication, exploit vulnerabilities, or probe our systems
  • Resell without authorization: Commercially resell our Service without explicit written permission

4.3 Content Restrictions

You may not upload:

  • Copyrighted material without authorization
  • Offensive, obscene, or illegal content
  • Personal data of others without consent
  • Malware, viruses, or malicious code
  • Content that violates third-party intellectual property rights

4.4 Rate Limits and Quotas

All plans are subject to:

  • Processing quotas based on your subscription tier
  • Rate limits on API calls and concurrent tasks
  • Fair usage policies to prevent abuse

Excessive usage may result in throttling, suspension, or upgrading to a higher tier.

5. Intellectual Property Rights

5.1 Your Content

You Retain Ownership: You retain all intellectual property rights to:

  • Images you upload to the Service
  • 3D models generated from your images
  • Project data and metadata you create

Your License to Us: By using the Service, you grant Plyxa3D a limited, worldwide, non-exclusive license to:

  • Process, store, and transmit your content to provide the Service
  • Create temporary copies for technical processing
  • Display your content to you and authorized users within your account

This license ends when you delete your content or account (subject to backup retention policies).

5.2 Generated 3D Models

Ownership: You own the 3D models generated from your images.

Usage Rights: You may use generated 3D models for:

  • Commercial and non-commercial projects
  • Game development and asset creation
  • E-commerce product visualization
  • AR/VR applications
  • Any lawful purpose

No Restrictions: We do not claim ownership or place restrictions on your generated 3D models, subject to compliance with these Terms.

5.3 Our Intellectual Property

All rights, title, and interest in and to:

  • The Service, software, and AI models
  • Plyxa3D trademarks, logos, and branding
  • Documentation, APIs, and SDKs
  • Aggregated, anonymized data and analytics

remain exclusively with Plyxa3D and its licensors.

Limited License: We grant you a limited, non-transferable, non-exclusive license to use the Service in accordance with these Terms and your plan.

5.4 Feedback and Suggestions

If you provide feedback, suggestions, or ideas:

  • You grant us the right to use them without restriction
  • You acknowledge we may implement similar features independently
  • You are not entitled to compensation or attribution

6. Payments, Subscriptions, and Refunds

6.1 Subscription Terms

  • All paid plans are billed in advance on a monthly or annual basis
  • Annual plans may be offered at a discount
  • Subscriptions automatically renew unless you cancel at least 24 hours before renewal
  • You can cancel anytime through your account settings
  • Cancellation stops future charges but does not refund current billing period

6.2 Usage-Based Billing

  • API usage and reconstructions are billed based on actual usage
  • Different quality levels (standard, high, ultra) have different credit costs
  • Add-ons (PBR materials, backface generation) incur additional charges
  • Usage is tracked in real-time and displayed in your dashboard

6.3 Refund Policy

  • Pro-rated refunds may be issued at our discretion for unused subscription periods
  • Credit purchases are non-refundable except in cases of service unavailability
  • No refunds for: (a) generated 3D models already downloaded, (b) excessive usage, (c) violations of these Terms

6.4 Failed Payments

If payment fails:

  • We'll notify you via email
  • You have 7 days to update payment information
  • Service may be suspended or downgraded during this period
  • After 7 days, account may be terminated and data deleted

6.5 Changes to Pricing

We may modify plan pricing or features with 30 days notice. Changes apply to billing cycles starting after the notice period.

7. Content Rights and Responsibilities

7.1 User Content

You retain ownership of all content you upload, including images, 3D models, and project data.

7.2 Content License to Plyxa3D

By uploading content, you grant Plyxa3D a limited license to:

  • Process, store, and display your content
  • Create technical copies for processing and backup
  • Show your content to authorized users within your account

7.3 Acceptable Content

You represent and warrant that your content:

  • Does not violate third-party intellectual property rights
  • Does not contain illegal, harmful, or offensive material
  • Does not violate these Terms or applicable laws
  • You have the right to upload and process

7.4 Content Removal

We reserve the right to remove any content that:

  • Violates these Terms or applicable laws
  • Is reported for copyright infringement
  • Poses a security or legal risk
  • Is deemed inappropriate at our sole discretion

7.5 Backup and Data Loss

While we implement backup systems:

  • We are not liable for data loss or corruption
  • You should maintain your own backups of uploaded images and generated models
  • Data may be permanently deleted after account termination

8. Service Operation and Availability

8.1 System Requirements

The Service requires:

  • Compatible web browser (latest versions of Chrome, Firefox, Safari, Edge)
  • Stable internet connection
  • For API usage: compatible programming environment

8.2 Service Modifications

We may modify, update, or discontinue features with notice when feasible. We are not liable for any modifications or discontinuations.

8.3 Downtime and Maintenance

  • Planned maintenance will be announced in advance when possible
  • Emergency maintenance may occur without notice
  • We aim for 99.9% uptime but do not guarantee continuous availability
  • Service Level Agreements (SLAs) only apply to Enterprise plans

8.4 Data Processing Locations

Our Service uses Cloudflare's global network. Your data may be processed in various geographic locations for optimal performance.

9. Third-Party Services

9.1 Integrations

The Service may integrate with third-party services:

  • Payment processing through Stripe
  • Authentication via OAuth providers (Google, GitHub)
  • Cloud storage and CDN services
  • Analytics and monitoring tools

9.2 Third-Party Terms

Your use of integrated third-party services is subject to their respective terms and privacy policies.

9.3 No Endorsement

We do not endorse or assume responsibility for third-party services.

10. Disclaimers and Limitations

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND:

  • No Accuracy Guarantee: Generated 3D models may not be perfectly accurate
  • No Fitness Guarantee: We do not guarantee suitability for your specific purpose
  • AI Limitations: AI-generated content may have artifacts, errors, or inconsistencies
  • Beta Features: Beta features are experimental and may not function correctly

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We are not liable for: indirect, incidental, consequential, or punitive damages
  • We are not liable for: lost profits, data loss, business interruption, or reputational harm
  • We are not liable for: errors in generated 3D models or processing failures

10.3 Indemnification

You agree to indemnify and hold harmless Plyxa3D from:

  • Claims arising from your content or use of the Service
  • Violations of these Terms or applicable laws
  • Infringement of third-party rights
  • Unauthorized access using your credentials

10.4 Force Majeure

We are not liable for failures due to: acts of God, natural disasters, war, terrorism, government actions, or other events beyond our reasonable control.

11. Termination

11.1 Termination by You

You may terminate your account at any time through account settings. Upon termination:

  • Your access to the Service ends immediately
  • You remain responsible for accrued charges
  • You should download any content you wish to preserve
  • We may retain data as required by law or for legitimate business purposes

11.2 Termination by Us

We may terminate or suspend your account immediately if:

  • You violate these Terms or applicable laws
  • You fail to pay applicable fees
  • Your usage poses a security risk or harms other users
  • We discontinue the Service or your plan
  • You engage in fraudulent or abusive behavior

Upon termination by us:

  • You lose access to the Service and your data
  • No refund will be provided for violations
  • We may delete your data after a reasonable grace period

11.3 Effect of Termination

  • All licenses granted to you terminate
  • You must cease all use of the Service
  • Outstanding payment obligations survive termination
  • Certain provisions (IP rights, limitations of liability, indemnification) survive termination

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of California, USA, without regard to conflict of law principles.

12.2 Dispute Process

Before filing a claim, you must:

  • Contact us at support@sam3d.ai to attempt resolution
  • Provide detailed description of the dispute
  • Allow 30 days for us to respond and attempt resolution

12.3 Arbitration

Disputes will be resolved by binding arbitration under the rules of the American Arbitration Association:

  • One arbitrator will be appointed
  • Arbitration will occur in San Francisco, California, or remotely
  • Each party bears their own legal fees unless otherwise awarded
  • The arbitrator's decision is final and binding

12.4 Exceptions

The following are not subject to arbitration:

  • Intellectual property infringement claims
  • Emergency injunctive relief
  • Small claims court actions

12.5 Class Action Waiver

You agree to resolve disputes only on an individual basis. Class actions and collective proceedings are not permitted.

13. Changes to Terms

13.1 Modification Rights

We may modify these Terms at any time. We will provide notice by:

  • Email to your registered address
  • Notice on our website or in the Service
  • Updating the "Last updated" date at the top of these Terms

13.2 Acceptance of Changes

  • Your continued use after changes constitutes acceptance
  • If you disagree with changes, you must stop using the Service
  • Material changes may allow for account termination with pro-rata refund

Material changes will be clearly highlighted and may require explicit acceptance.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any plan-specific terms, constitute the entire agreement between you and Plyxa3D.

14.2 Severability

If any provision is found unenforceable, the remaining provisions continue in full effect.

14.3 Waiver

Failure to enforce any provision does not waive our right to enforce it later.

14.4 Assignment

You may not assign these Terms without our consent. We may assign without restriction.
